Charger Provider Code of Conduct

1. Introduction

1.1 This Charger Provider Code of Conduct (“Code”) sets out the obligations and behavioural standards expected of all Charger Providers who publish and operate chargers on the Zingrev Platform (“Platform”), owned and operated by Zingrev OÜ (“Zingrev”, “we”, “our”).

1.2 This Code forms an integral part of the Terms of Service. Breaches of this Code may result in penalties, suspension, or permanent removal from the Platform.

1.3 The purpose of this Code is to:

      • Promote safety and compliance with legal standards;
      • Ensure fair treatment of EV Drivers;
      • Maintain professionalism and reliability across the Platform;
      • Build trust in Zingrev’s ecosystem.


2. Legal and Regulatory Compliance

2.1 Charger Providers must comply with all applicable laws, regulations, and standards, including but not limited to:

      • Estonian law and EU directives relating to electrical safety, consumer protection, and data protection;
      • National and EU energy laws relating to the private provision of electricity to third parties;
      • Consumer protection laws requiring fairness, transparency, and non-discrimination in dealing with EV Drivers;
      • Electrical safety and installation standards, including CE-marking and certified equipment requirements;
      • National building, fire, and electrical installation codes;
      • Building, zoning, fire, and environmental regulations governing the installation and use of chargers;
      • Data protection laws (GDPR) when processing any EV Driver data obtained through use of the Platform.


2.2 Charger Providers are solely responsible for ensuring that their chargers meet all CE marking and safety certification requirements.

2.3 Provider represents and warrants that they are legally entitled to provide charging services at their property (home, office, or other permitted location).

2.4 Provider represents and warrants that they hold and maintain all permits, licences, approvals, and consents required by local law.

2.5 Provider represents and warrants that the provision of such services does not breach tenancy, leasehold, homeowner association, or insurance obligations;

2.6 Provider represents and warrants that they are not prohibited under law, regulation, or contract from offering such services.


3. Safety Standards

3.1 Charger Maintenance

      • Charger Providers must ensure their chargers are regularly maintained and safe for use.
      • Equipment must be free from defects, exposed wiring, or hazards.


3.2 Emergency Preparedness

      • Charger Providers must ensure that emergency shut-off switches are functional and accessible.
      • Charger Providers must promptly report any safety incidents to Zingrev Support.


3.3 Environmental Safety

      • Charger areas must be adequately lit, clean, and free from obstructions.
      • Charger Providers must ensure chargers are installed in safe and accessible locations.
      • Immediately update their listing and inform Zingrev if a charger is unsafe, unavailable, or undergoing maintenance.


4. Fairness and Transparency

4.1 Accurate Information

      • All charger listings must be truthful, including location, availability, time slots, technical specifications, and rates.
      • Charger Providers must promptly update listings if chargers are unavailable (e.g., under maintenance).


4.2 Pricing Fairness

      • Rates set by Charger Providers must be transparent and inclusive of applicable VAT where required.
      • Charger Providers may not impose additional charges outside of the Platform.


4.3 Reservation Integrity

      • Charger Providers may not reject Reservations based on unlawful discrimination (e.g., race, gender, nationality).
      • Charger Providers must only cancel Reservations when strictly necessary and in accordance with the Refunds & Cancellations Policy.

 

5. Professional Conduct with EV Drivers

5.1 Respectful Communication

      • Charger Providers must communicate with EV Drivers courteously, respectfully, and professionally.
      • Harassment, abusive language, or inappropriate behaviour is strictly prohibited.


5.2 Non-Discrimination

Charger Providers must not refuse service, cancel reservations, or otherwise discriminate against EV Drivers on the basis of race, ethnicity, religion, gender, sexual orientation, disability, nationality, or any other protected characteristic under EU or national law.


5.3 Responsiveness

      • Charger Providers are expected to respond promptly to Reservation requests and EV Driver communications.
      • Failure to respond repeatedly may affect visibility and ratings.


5.4 Direct Contract with EV Drivers

Charger Providers acknowledge that the legal contract for the charging service exists directly between them and the EV Driver;

      • Charger Providers acknowledge that Zingrev is not a party to such contract and acts only as an intermediary and facilitator;
      • Charger Providers acknowledge that any legal claims, disputes, or consumer complaints arising from the charging service itself are the responsibility of the Provider.


6. Reliability and Accountability

6.1 Timeliness

      • Charger Providers must honour confirmed Reservations and ensure chargers are available at the scheduled time.
      • Repeated late cancellations or no-shows may result in penalties or account suspension.


6.2 Reporting Issues

      • If a charger becomes unavailable due to breakdown or emergency, Charger Providers must immediately update the listing and notify Zingrev, via the support channels provided.


6.3 Record-Keeping

      • Charger Providers should retain records of their charging sessions and transactions for their own tax and compliance purposes.


7. Data Protection and Privacy

7.1 Charger Providers must respect the privacy of EV Drivers and comply with the General Data Protection Regulation (GDPR).

7.2 Charger Providers may not use EV Driver personal data (phone number, vehicle information, etc.) for purposes outside the Platform (e.g., direct marketing).

7.3 Any misuse of personal data may result in immediate termination, penalties and/or account suspension.


8. Handling of Cancellations

8.1 Charger Providers must comply with the Refunds & Cancellations Policy.


8.2 Cancellations within 30 minutes of the scheduled start time without valid cause will result in penalties, including:

      • Deduction of Service Fees;
      • Impact on ratings;
      • Potential account suspension after repeated violations.


8.3 Valid causes (e.g., emergencies, safety concerns) must be reported to Zingrev Support, via the support channels provided, within 30 minutes of cancellation.


9. Taxes and Financial Responsibilities

9.1 Charger Providers are solely responsible for declaring and paying taxes (income tax, VAT, social contributions, etc.) on earnings received through the Platform;

9.2 Charger Providers must register for VAT where required by their national laws and must ensure their VAT details are accurately entered in the Platform if VAT applies;

9.3 Zingrev is not responsible for Charger Providers’ tax obligations beyond issuing invoices and applying VAT on Service Fees in accordance with Estonian law, and has no liability for the Provider’s own tax obligations.


10. Reviews, Ratings & Feedback

10.1 General Principles

      • The Zingrev Platform incorporates a system of ratings, reviews, and feedback to promote transparency and trust.
      • Charger Providers are expected to use this system honestly, fairly, and respectfully.


10.2 Feedback on EV Drivers

      • Charger Providers may leave reviews or ratings of EV Drivers after completed Charging Sessions.
      • Reviews must be based on genuine experiences and must not contain abusive, discriminatory, defamatory, or misleading content.
      • Charger Providers must not retaliate against EV Drivers through unfair or malicious reviews.


10.3 Feedback on Zingrev

      • Charger Providers may share feedback about the Platform with Zingrev through official channels (e.g., in-app support, Helpdesk, or surveys).
      • Public feedback (e.g., app store reviews, social media posts) must be fair, factually accurate, and free from defamatory, offensive, or misleading statements.
      • Charger Providers are prohibited from making false or malicious statements about Zingrev, its employees, or its services.


10.4 App Stores and Social Media

      • While Charger Providers are free to express opinions on public forums, they must do so in compliance with this Code and applicable laws (including defamation and unfair competition laws).
      • Coordinated campaigns to manipulate app store ratings, post fraudulent reviews, or disparage Zingrev or its Users are strictly prohibited.


10.5 Manipulation and Misuse

      • Charger Providers may not:
        • Offer incentives to EV Drivers in exchange for positive reviews;
        • Post false positive reviews about themselves;
        • Post false negative reviews about other Charger Providers or EV Drivers;
        • Collude with others to manipulate ratings.


10.6 Consequences of Breach

      • Zingrev reserves the right to remove or edit inappropriate reviews or feedback in accordance with applicable law.
      • Breaches of this section may result in warnings, reduced visibility on the Platform, monetary penalties, suspension/termination of the Provider’s account, followed by legal action in accordance with the law.


11. Breaches of Code

11.1 Breaches of this Code may result in:

      • Warnings or advisory notices;
      • Reduced visibility of charger listings;
      • Monetary penalties (deduction of payouts);
      • Temporary suspension;
      • Permanent removal from the Platform.
      • Legal action


11.2 Zingrev reserves the right to determine penalties proportionate to the severity of the breach.

11.3 Charger Providers may appeal penalties imposed, by submitting evidence to Zingrev Support within 7 days of notification.


12. Governing Law

This Code is governed by the laws of Estonia and applicable EU law.

 

13. Indemnity

Charger Providers agree to indemnify, defend, and hold harmless Zingrev, its officers, employees, and affiliates against any claims, damages, losses, fines, penalties, or expenses (including reasonable legal fees) arising from:

      • Non-compliance with applicable laws or regulations;
      • Injury, property damage, or loss caused by their charging equipment;
      • Misrepresentation, inaccurate listings, or unlawful refusal of service;
      • Failure to pay applicable taxes or VAT.
