Introduction
These Terms of Service (the “Terms”) constitute a legally binding agreement between Zingrev OÜ, a company incorporated and existing under the laws of the Republic of Estonia, registry code 17315908, having its registered office at Harju maakond, Tallinn, Kesklinna linnaosa, Tuukri tn 19-202, 10120, Estonia (“Zingrev”, “we”, “our” or “us”), and any natural or legal person you (“User”, “you” or “your”), whether as an EV Driver or a Charger Provider who accesses or uses our website at https://zingrev.com, our mobile application (“Zingrev App”), or our web application (together, the “Platform”).
By creating an account, accessing, or using the platform or app, you confirm that you have read, understood, and agree to these Terms as well as the following additional documents, all of which form an integral part of your legal relationship with Zingrev:
- Privacy Policy – explains how we collect, process, and protect your personal data in accordance with GDPR and Estonian law.
- Cookie Policy – describes our use of cookies and similar technologies, and your choices regarding consent.
- End-User License Agreement (EULA) – governs your rights to download, install, and use the Zingrev App.
- Payment Terms & Fees Policy – sets out payment methods, Service Fees, VAT/tax responsibilities, and payout rules.
- Refunds & Cancellations Policy – explains refund eligibility, timelines, partial refunds, credit notes, and no-show conditions.
Invoicing Policy - establishes a transparent framework for the issuance, delivery, correction, and storage of invoices, receipts, and credit notes.
- Charger Provider Code of Conduct – binding obligations for Charger Providers regarding safety, fairness, professionalism, cancellations, equipment maintenance, reviews, and interactions with EV Drivers.
- EV Driver Code of Conduct – obligations for EV Drivers regarding safety, fairness, reservation reliability, respectful communication, reviews, and payment integrity.
- Community Standards & Enforcement Policy – platform-wide behavioral rules for all Users, covering safety, respect, reviews, unacceptable conduct, reporting mechanisms, and enforcement actions.
- Legal Notice / Impressum – statutory company and contact information required under Estonian law.
Together, these Terms and the above documents (collectively, the “Policies”) form the complete agreement between you and Zingrev OÜ regarding your use of the Platform.
In the event of inconsistency, the order of precedence shall be:
(i) these Terms,
(ii) the specific role-based Codes of Conduct (Charger Provider Code of Conduct, EV Driver Code of Conduct),
(iii) the Payment Terms & Fees Policy, Refunds & Cancellations Policy, and Invoicing Policy,
(iv) the End-User License Agreement (EULA), and
(v) all other Policies.
If you do not agree with these Terms or any of the Policies, you must immediately refrain from accessing or using the Platform.

Zingrev is registered under Estonian law and is subject to EU and Estonian legislation, including but not limited to:
- The General Data Protection Regulation (EU) 2016/679 (“GDPR”);
- The Consumer Rights Directive (EU) 2011/83;
- The E-Commerce Directive (EU) 2000/31 and its Estonian implementation under the Information Society Services Act;
- The Payment Services Directive 2 (EU) 2015/2366 (PSD2) where applicable;
- Relevant national consumer protection and contractual laws of Estonia.
2. Definitions
For the purpose of interpreting these Terms, the following definitions shall apply:
- “Account” means a user account created on the Platform, associated with a verified phone number, through which the User may access features of the Platform.
- “Charger Provider” means a registered User who owns or lawfully controls an electric vehicle charger and lists such charger on the Platform to offer charging services to EV Drivers in exchange for payment.
- “EV Driver” means a registered User who owns or lawfully operates an electric vehicle and uses the Platform to locate, reserve, and pay for charging sessions provided by Charger Providers.
- “Charging Session” means the actual use of a charger by an EV Driver at the location and time agreed through the Platform.
- “Reservation” means a confirmed booking of a Charging Session made by an EV Driver through the Platform.
- “Service Fee” means the commission or fee payable by Charger Providers to Zingrev for the use of the Platform, as detailed in the Payment Terms & Fees Policy.
- “Payment Provider” means the licensed third-party payment institution integrated into the Platform for the processing of payments and payouts in compliance with PSD2.
- “User Content” means all information, data, documents, communications, images, or materials submitted, uploaded, or provided by a User through the Platform, including but not limited to profile details, charger listings, reviews, and messages.
- “Policies” means collectively these Terms and all referenced legal documents (Privacy Policy, Cookie Policy, Payment Terms & Fees Policy, Refunds & Cancellations Policy, Invoicing Policy, and the EULA).
- “Platform” refers collectively to the website, Zingrev App, and the Zingrev web application.
3. Scope of Services
1. Platform Functionality
Zingrev operates an online Platform accessible via website, web app, and mobile application (“Zingrev App”) that allows:
- EV Drivers to search for, reserve, and pay for charging sessions; and
- Charger Providers to list, set prices, manage, and receive payment for use of their private EV chargers.
2. Intermediary Role
Zingrev acts solely as an online or digital intermediary and facilitator. We provide the technological means for EV Drivers and Charger Providers to find each other, make reservations, and process payments.
3. No Energy Supply by Zingrev
Zingrev is not an energy supplier under Estonian or EU law. We do not:
- Generate, own, purchase, distribute, resell, or supply electricity;
- Operate or control chargers listed on the Platform;
- Assume responsibility for electricity quality, reliability, or safety.
- All electricity consumed during Charging Sessions is provided solely by the Charger Provider, who is responsible for compliance with applicable technical and safety standards.
4. Direct Contract Between Users
The legal contract for the provision of the charging service exists directly between the Charger Provider and the EV Driver.
- The Charger Provider is solely responsible for the availability, condition, and lawful operation of their charging equipment.
- The EV Driver is responsible for lawful use of the charger and compliance with safety instructions.
- Zingrev is not a party to such contracts and accepts no responsibility for their performance.
5. No Employment or Agency Relationship
Nothing in these Terms creates an employment, partnership, or agency relationship between Zingrev and any Charger Provider. Charger Providers act independently and on their own account.
6. Ancillary Features
In addition to booking and payment facilitation, the Platform may provide features such as navigation tools, communication tools, digital invoicing, and dashboards containing spending or earning analyses.
7. Territorial Scope
The Platform is made available to Users across the European Union. Charger Providers may be located in any EU country, and EV Drivers may access services while traveling within the EU. Each Provider is responsible for compliance with the laws, permits, and regulations of their own jurisdiction.
4. Incorporation of Policies
These Terms are supplemented by and must be read in conjunction with the following Policies:
- Privacy Policy: which explains how we collect, process, store, and protect your personal data under GDPR.
- Cookie Policy: which explains our use of cookies and other tracking technologies.
- Payment Terms & Fees Policy: which sets out the rules governing how payments and payouts are made, and how Service Fees are charged.
- Refunds & Cancellations Policy: which governs the rights of EV Drivers and obligations of Charger Providers regarding cancellations and refunds.
Invoicing Policy: which authorizes Zingrev to issue invoices, receipts, and credit notes on Charger Provider’s behalf.
- EULA: which governs your use of the Zingrev App on iOS and Android devices.
By accepting these Terms, you confirm that you have reviewed and accepted these Policies, all of which form part of your contractual relationship with us.
5. Eligibility
- Minimum Age: You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts. By registering, you represent and warrant that you meet this requirement.
- EV Drivers: You must either own an electric vehicle or have the lawful right to use one. You must ensure that your vehicle is compatible with the chargers you intend to use.
- Charger Providers: You must have ownership rights, leasing rights, or otherwise legal authority to list your charger. By listing a charger, you warrant that it is safe, functional, and compliant with applicable national and EU regulations, including electrical safety standards.
- Verification: We may require verification of identity, ownership, or rights to use the Platform. Failure to pass verification may result in denial, restriction, or suspension of access.
- Prohibited Users: Persons previously suspended or banned from the Platform may not register or use the Platform.
6. Account Registration & Verification
- Creation of an Account: Users must create an Account with a valid phone number. For EV Drivers, additional vehicle details may be required. For Charger Providers, additional charger details must be submitted.
- Accuracy of Information: You agree to provide only accurate, truthful, and up-to-date information. Any false, misleading, or outdated information may result in suspension or termination.
- Security of Account: You are solely responsible for safeguarding your Account credentials. You must not share your login details with third parties. Any action taken under your Account will be considered as your own.
- Verification Procedures: We may require you to undergo identity verification, bank account verification, or charger ownership verification. By registering, you authorize Zingrev and its verification service providers to conduct necessary checks.
- Multiple Accounts: Each User is allowed only one Account unless expressly authorized by Zingrev.
7. EV Drivers – Specific Terms
- Search & Availability: EV Drivers may use the Platform to search for chargers based on location, availability, and pricing. Information is provided by Charger Providers and Zingrev does not guarantee its accuracy.
- Reservations: When you make a Reservation, you enter into a binding agreement with the Charger Provider. By confirming a Reservation, you agree to pay the price displayed at the time of booking.
- Modifications & Cancellations: You may cancel or modify a Reservation subject to the Refunds & Cancellations Policy. Refund eligibility depends on the timing of cancellation relative to the scheduled Charging Session.
- Payments: Payments must be made through the Platform using the integrated Payment Provider. You authorize us to process charges to your payment method for each Reservation.
- Service Fees: Currently, EV Drivers do not pay a service fee to Zingrev. We reserve the right to introduce such fees in the future with prior notice.
- Receipts & Invoices: After each completed Charging Session, you will receive an electronic receipt or invoice generated by the Platform.
- In-App Communications: You may contact Charger Providers only via the in-app chat or call features. Misuse of communication tools (spam, harassment, abusive language) is strictly prohibited.
- Driver Dashboard: You may access a dashboard showing past and upcoming Reservations, historical spending, and analytical reports.
8. Charger Providers – Specific Terms
- Listing a Charger: By publishing a charger on the Platform, you represent and warrant that:
- You own or have lawful control over the charger;
- The charger complies with applicable safety and regulatory standards;
- Information provided (location, availability, rates) is accurate and up-to-date.
- Rates & Pricing: You are free to set your own electricity rate. Prices must be displayed clearly in euros (€) and include all applicable taxes.
- Approval of Reservations: You may accept or reject Reservation requests. Excessive cancellations or rejections may result in penalties, lowered visibility, or suspension.
- Service Fees: You agree to pay Zingrev a Service Fee, deducted automatically from each successful Charging Session payout. The rate is specified in the Payment Terms & Fees Policy.
- Payouts: Payouts are made to your nominated bank account or digital wallet through the Payment Provider. Processing times may vary depending on the timelines that have already been agreed between your financial institution and our payment provider.
- Charger Maintenance & Safety: You are solely responsible for ensuring that your charger is functional, safe, and accessible at the reserved time. Any failure may result in refund obligations and liability to EV Drivers.
- Insurance: You are strongly encouraged to maintain adequate liability insurance covering your charger and its use by third parties.
- Provider Dashboard: You may access your earnings, upcoming reservations, and analytical reports via your dashboard.
9. Payments & Refunds
- Payment Processing: All payments are handled by licensed Payment Providers in compliance with PSD2. Zingrev does not store payment card details.
- Payment Authorization: By confirming a Reservation, EV Drivers authorize the immediate charging of their payment method.
- Refund Conditions: Refunds are governed strictly by the Refunds & Cancellations Policy. Refunds may apply in cases such as timely cancellation, unavailability of the charger, or malfunction.
- Chargebacks: Initiating unjustified chargebacks constitutes a breach of these Terms. We reserve the right to recover associated costs and suspend Accounts.
- Service Fees: Service Fees are non-refundable except in cases of proven technical error attributable to Zingrev.
10. Platform Role & Disclaimers
- Neutral Intermediary: Zingrev is a neutral facilitator. We do not own chargers, do not supply electricity, and are not responsible for the performance of Users.
- Accuracy of Information: Listings and availability data are provided by Charger Providers. Zingrev does not guarantee completeness or accuracy.
- Interruptions: The Platform may be subject to downtime, maintenance, or errors. We do not guarantee uninterrupted availability.
- No Endorsement: The inclusion of a charger on the Platform does not imply Zingrev’s endorsement.
11. User Obligations
- Lawful Use: You may not use the Platform in violation of Estonian, EU, or local laws.
- Prohibited Conduct: Includes but is not limited to: fraudulent bookings, harassment, spamming, bypassing fees, unsafe charging practices, criminal acts or misuse of the communication tools.
- Responsibility for Content: You are responsible for any User Content you provide and warrant that it does not infringe third-party rights.
12. Intellectual Property
- Ownership: All content, designs, code, and trademarks of the Platform are owned or licensed by Zingrev.
- License: You are granted a limited, personal, non-exclusive, non-transferable license to use the Platform for its intended purpose.
- Restrictions: You may not copy, reproduce, reverse-engineer, or otherwise exploit the Platform.
13. Termination & Suspension
- Termination by Zingrev: We may suspend or terminate Accounts for violations of these Terms, non-payment, fraud, other criminal acts or misuse.
- Termination by User: You may terminate your Account at any time by contacting support or via the Platform.
- Consequences: Termination does not affect accrued obligations, payments due, or surviving provisions (such as liability and intellectual property).
14. Disclaimer of Warranties and Limitation of Liability
- Disclaimer of Warranties: The Platform and services are provided on an “as is” and “as available” basis. Zingrev makes no warranties or guarantees, whether express or implied, regarding:
- Continuous, uninterrupted, or error-free access to the Platform;
- The accuracy, completeness, or reliability of charger listings;
- The quality, availability, or safety of electricity supplied by Charger Providers;
- The performance, condition, or compatibility of chargers.
- No Responsibility for Charging Services: Zingrev does not provide or control the charging services. Accordingly, Zingrev disclaims all liability for:
- The supply, pricing, or metering of electricity;
- The condition, legality, or safety of charging equipment;
- Personal injury, property damage, or other harm arising from the use of chargers.
- Charger Provider Responsibility: Each Charger Provider is solely responsible for:
- Ensuring their charger complies with applicable EU and national energy, safety, building, and consumer laws;
- Maintaining functional and safe equipment;
- Accurately describing location, availability, and pricing;
- Fulfilling all tax and reporting obligations (including VAT and income tax).
- EV Driver Responsibility: Each EV Driver is solely responsible for:
- Using chargers in accordance with manufacturer guidelines and safety rules;
- Ensuring their vehicle is compatible with the listed charger;
- Following cancellation and refund timelines set in the Refunds & Cancellations Policy.
- Limitation of Liability: To the maximum extent permitted by law, Zingrev shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to, loss of profits, data, goodwill, or opportunity, arising from or connected with:
- The use of or inability to use the Platform;
- The performance or non-performance of a Charger Provider;
- Electrical faults, outages, or safety incidents at a charging location;
- Reviews, ratings, or feedback left by Users.
- Liability Cap: In any case, Zingrev’s total aggregate liability under these Terms shall not exceed the higher of:
- EUR 100; or
- The total Service Fees paid by the User to Zingrev in the preceding 12 months.
- Non-Excludable Liability: Nothing in these Terms excludes liability for:
- Fraud or fraudulent misrepresentation;
- Gross negligence or willful misconduct;
- Death or personal injury caused by negligence;
- Any other liability that cannot lawfully be excluded under EU or Estonian law.
15. Data Protection
Your use of the Platform involves the processing of personal data. All such processing is carried out in compliance with the GDPR and is governed by our Privacy Policy.
16. Governing Law & Dispute Resolution
- Governing Law: These Terms are governed by the laws of Estonia, subject to mandatory EU consumer protection laws.
- Amicable Resolution: A User must first attempt resolution via Zingrev’s support team.
- Jurisdiction: Unless otherwise required by mandatory consumer law, disputes shall be subject to the exclusive jurisdiction of the courts of Estonia.
- Consumer Remedies: Consumers (Users) may submit complaints to the Estonian Consumer Disputes Committee or use the EU Online Dispute Resolution (ODR) platform.
17. Amendments
We may update these Terms from time to time. Where changes are material, we will provide notice through the Platform or via email. Continued use after changes take effect constitutes acceptance by the User.
