Payment Terms & Fees Policy

1. Introduction

1.1 This Payment Terms & Fees Policy (“Policy”) sets out the rules governing payments, payouts, fees, and related financial obligations when using the Zingrev Platform (the “Platform”), including the website, mobile application, and web application operated by Zingrev OÜ (“Zingrev”, “we”, “our”, or “us”).

1.2 This Policy must be read in conjunction with our Terms of Service, Privacy Policy, Refunds & Cancellations Policy, and End-User License Agreement (EULA). All capitalised terms used in this Policy have the same meaning as in the Terms of Service unless otherwise defined herein.

1.3 By using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by this Policy.

 

2. Role of Zingrev

2.1 Zingrev operates as a platform and intermediary that facilitates payments between EV Drivers and Charger Providers for Charging Sessions.

2.2 Zingrev is not a bank or payment institution. All payment processing is handled by a licensed third-party Payment Provider in compliance with the Payment Services Directive (PSD2).

2.3 Zingrev collects payments from EV Drivers on behalf of Charger Providers, deducts applicable Service Fees, and arranges payouts to Charger Providers through the Payment Provider.


3. Payment Obligations of EV Drivers

3.1 Payment Requirement 

EV Drivers are required to pay the full price of each Reservation at the time of booking through the Platform. Payment is a precondition for confirming a Reservation.

3.2 Accepted Payment Methods

Payments may be made using credit cards, debit cards, digital wallets, or other methods supported by our Payment Provider. Zingrev does not guarantee the availability of all payment methods in all jurisdictions.

3.3 Authorization of Payments

By entering payment details, EV Drivers authorise Zingrev and its Payment Provider to charge the designated payment method for the full amount, including taxes and charges as displayed at the time of booking.

3.4 Receipts and Invoices

After each completed Charging Session, the EV Driver will receive a digital receipt or invoice through the Platform. The invoice will include applicable VAT where required.

3.5 Failed or Rejected Payments

If a payment fails or is rejected, the Reservation will not be confirmed. Repeated failed payments may result in account suspension.

3.6 Reservations Placed Close to Start Time

If an EV Driver places a Reservation request within 30 minutes of the scheduled start time, the booking may be automatically rejected if the Charger Provider does not confirm in time. In such cases, the EV Driver will not be charged any fee by Zingrev. If any amount is pre-authorised, the refund will be processed in accordance with the Refunds & Cancellations Policy.

3.7 Late Cancellation by EV Driver

If an EV Driver cancels a Reservation within 60 minutes of the scheduled start time, the EV Driver remains responsible for payment for the original Reservation.


4. Earnings and Obligations of Charger Providers

4.1 Right to Earnings

Charger Providers are entitled to receive the gross charging price paid by EV Drivers, less applicable Service Fees (14%) and payment processing fees.


4.2 Service Fee (Platform Commission)

  • Zingrev charges Charger Providers a 14% Service Fee on the gross amount of each Charging Session.
  • The Service Fee is automatically deducted prior to payout.
  • VAT is applied to the Service Fee where applicable under Estonian law.


4.3 Payment Processing Fees

In addition to the Service Fee, a fixed payment processing fee (charged by the Payment Provider) may apply per transaction. This fee is deducted automatically.


4.4 Payouts

Payouts are processed by 

Zingrev and Charger Provider will receive the payout within 45 days from the date of the scheduled reservation end date
. A minimum payout threshold may apply.


4.5 Charger Provider Cancellation within 60 Minutes

If a Charger Provider cancels a Reservation within 60 minutes of the scheduled start time, the Charger Provider is liable to pay Zingrev the Service Fee (14%) calculated on the basis of the charging session rate of the original Reservation.

  • This penalty is applied to discourage last-minute cancellations.
  • More than three (3) instances of such cancellations may result in temporary suspension, account restrictions, or permanent removal from the Platform, and may negatively impact the Charger Provider’s public rating.


4.6 Exception for Valid Cause

As an exception, if a Charger Provider cancels within 30 minutes of the scheduled start time due to a valid cause (such as a personal emergency or credible concern for personal safety relating to the EV Driver), the following applies:

  • The EV Driver will receive a credit note or discount code of equivalent value for use in a future Charging Session.
  • Zingrev will not deduct the Service Fee from the Charger Provider in such cases.
  • This exception will only apply if the Charger Provider reports the incident to Zingrev Support or the Helpdesk within 30 minutes of cancellation and provides sufficient justification.


4.7 Equipment Malfunction or Non-Availability

If the Charger Provider’s equipment is found to be non-functional or otherwise unavailable at the time of the Reservation:

  • The EV Driver will receive a credit note or discount code equal to the Reservation amount. 
    This credit note or discount code may get applied automatically while making the next reservation on Zingrev.
  • The equivalent amount will be deducted from the Charger Provider’s payout for that session.
  • Repeated equipment malfunctions may result in account review, penalties, or suspension.

5. Taxes and VAT

5.1 General Principles

      • Zingrev is registered in Estonia and subject to Estonian and EU tax laws.
      • Charger Providers are responsible for providing VAT or income tax details to Zingrev for their use of the Platform.
      • Zingrev is responsible for VAT collection from Charger Providers and providing the details to the concerned authorities.


5.2 EV Drivers

      • Prices displayed to EV Drivers include VAT where applicable.
      • EV Drivers are not required to account for VAT or income tax on their use of the Platform.


5.3 Charger Providers

      • Charger Providers are responsible for determining their own tax status under Estonian and/or EU law.
      • Charger Providers are solely responsible for reporting and paying income taxes, social contributions, and other applicable taxes arising from their earnings.


5.4 Invoices

      • The Platform will generate invoices for each completed Charging Session.
      • Where VAT is applicable, it will be displayed separately.
      • Charger Providers must ensure their tax details (e.g., VAT number) are correctly entered in their account settings.


5.5 Zingrev’s Responsibilities

      • Zingrev issues invoices to EV Drivers on behalf of Charger Providers.
      • Zingrev collects and remit VAT on Service Fees charged to Charger Providers, in compliance with Estonian law.

6. Refunds and Chargebacks

6.1 Refunds

Refunds are processed strictly in accordance with the Refunds & Cancellations Policy.

6.2 Charger Provider Responsibility

If a refund is issued due to charger malfunction, unavailability, or Provider cancellation, the Charger Provider forfeits earnings for that session.

6.3 Chargebacks

Unjustified chargebacks initiated by EV Drivers constitute a breach of the Terms of Service. Zingrev reserves the right to recover amounts lost and impose penalties, including account suspension.


7. Currency and Exchange Rates

7.1 All payments on the Platform are processed in euros (EUR) unless otherwise specified.

7.2 If EV Drivers pay using a currency other than EUR, exchange rates applied by the Payment Provider will determine the converted amount. Additional bank fees may apply

and Zingrev is not responsible for the additional fees by the Payment Provider
.

7.3 Zingrev is not responsible for fluctuations in exchange rates or additional fees charged by banks.


8. Service Fee Changes

8.1 Zingrev reserves the right to modify the Service Fee percentage.

8.2 Any change in Service Fees will be communicated to Charger Providers at least 30 calendar days in advance.

8.3 Continued use of the Platform after the notice period constitutes acceptance of the revised fees.


9. Compliance with PSD2

9.1 All payments and payouts are processed by a licensed Payment Provider in compliance with the Payment Services Directive (PSD2).

9.2 Strong Customer Authentication (SCA) measures, such as two-factor authentication, may be applied.

9.3 Zingrev does not directly store or process sensitive payment details.


10. Record Keeping

10.1 Zingrev retains payment records and transaction data for a minimum of seven (7) years in compliance with Estonian accounting and tax laws.

10.2 Charger Providers and EV Drivers are responsible for maintaining their own records for tax and accounting purposes.


11. Breach of Payment Obligations

11.1 If a User fails to comply with this Policy, Zingrev may:

      • Suspend or terminate the User’s account;
      • Withhold payouts;
      • Recover outstanding amounts through legal action.


11.2 Interest may be charged on overdue amounts at the statutory rate under Estonian law.


12. Governing Law and Jurisdiction

12.1 This Policy is governed by the laws of Estonia, subject to mandatory EU consumer protection laws.

12.2 Disputes shall first be addressed through Zingrev’s internal complaints procedure.

12.3 If unresolved, disputes shall be subject to the exclusive jurisdiction of Estonian courts, unless mandatory law provides otherwise.
